These Terms of Service ("Terms") govern your access to and use of the websites operated by Scalytics under the domain scalytics.io and its subdomains (collectively, the "Site").

"Scalytics", "we", "us", and "our" refer to the Scalytics entity that is your contracting party under these Terms, determined by your location at the time of access:

  • If you are located in the European Union, the European Economic Area, the United Kingdom, or Switzerland, your contracting party is Scalytics Europe Ltd., a company organized under the laws of Malta with its registered office at Santa Venera, Malta.
  • If you are located anywhere else, your contracting party is Scalytics, Inc., a Delaware corporation with its principal place of business in Miami, Florida, United States.

Both entities operate the Site jointly and are referred to collectively as "Scalytics" throughout these Terms.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms cover website use only. They do not govern:

  • Use of Scalytics software products, which is governed by the Enterprise License Agreement and any applicable Order Form;
  • Use of Scalytics open-source components, which is governed by the Apache License 2.0 as set forth in the LICENSE file of each repository at github.com/scalytics;
  • How we handle personal data, which is governed by our Privacy Policy.

1. Definitions

"Content" means all text, graphics, logos, code, documents, blog posts, research papers, white papers, videos, audio, presentations, and other material made available on the Site by us.

"User Submissions" means information you voluntarily submit to us through the Site, including contact form entries, demo requests, newsletter signups, comments, and feedback. User Submissions do not include personal data processed under the Privacy Policy except as a subset.

"Software" means the proprietary software products Scalytics makes available under the Enterprise License Agreement.

"Open-Source Components" means software components Scalytics publishes under the Apache License, Version 2.0.

2. Eligibility

The Site is intended for use by businesses and professionals. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

You must be of legal age to form a binding contract in your jurisdiction to use the Site.

3. License to Use the Site

Subject to your compliance with these Terms, Scalytics grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and Content for your internal business or professional purposes.

You may share links to public pages of the Site, including via social media, news media, internal communications, and other websites, without prior permission. You may quote brief excerpts of Content for commentary, journalism, research, or analysis, provided you attribute the source.

All rights not expressly granted are reserved.

4. Crawlers, Indexing, and AI Training

We welcome and permit:

(a) Indexing of the Site by search engines and by AI systems whose crawlers respect our robots.txt directives, including Googlebot, Bingbot, GPTBot, ClaudeBot, PerplexityBot, and similar agents;

(b) Linking to the Site, including deep linking to specific pages;

(c) Fair-use citation and quotation of Content with attribution.

We do not permit:

(d) High-volume automated scraping that imposes an unreasonable load on our infrastructure;

(e) Bulk republication of Content as a substitute for the original (as distinct from quotation, summary, or commentary);

(f) Automated access that ignores robots.txt or other published access controls;

(g) Use of the Site or Content to build a substantially similar competing website.

Our robots.txt file is the authoritative source for crawler permissions and restrictions. We may update it from time to time without notice.

5. Prohibited Conduct

You agree not to:

(a) Use the Site in violation of any applicable law or regulation;

(b) Attempt to gain unauthorized access to any portion of the Site, the underlying servers, or any data not intended for you;

(c) Probe, scan, or test the vulnerability of the Site or any system or network connected to the Site without our prior written consent, except where such testing is conducted within the scope of our published responsible disclosure policy, if any;

(d) Introduce viruses, ransomware, worms, malware, or any other harmful code into the Site;

(e) Use the Site to send unsolicited commercial communications, phishing attempts, or any form of harassment;

(f) Misrepresent your identity or your affiliation with any person or organization in any User Submission;

(g) Interfere with or disrupt the integrity or performance of the Site;

(h) Remove, alter, or obscure any copyright, trademark, or other proprietary notice on the Site.

6. Intellectual Property

6.1 Site and Content. The Site, the Content, and all related intellectual property rights are owned by Scalytics or its licensors. Nothing in these Terms transfers any such rights to you, except for the limited license granted in Section 3.

6.2 Trademarks. "Scalytics" and the Scalytics logo are registered trademarks of Scalytics. Other product names referenced on the Site (KafScale, KafClaw, KafGraph, kafSIEM, kaf-mirror, Scalytics Private AI) are trademarks of Scalytics. No license to use any Scalytics trademark is granted under these Terms.

6.3 Apache Software Foundation Trademarks. Apache®, Apache Wayang®, Wayang®, Apache Kafka®, Kafka®, Apache Flink®, Flink®, Apache Iceberg®, Iceberg®, Apache Spark®, and Spark® are trademarks of the Apache Software Foundation. Scalytics is not affiliated with, endorsed by, or sponsored by the Apache Software Foundation, except as a contributor to and downstream user of certain ASF projects under the Apache License 2.0.

6.4 Open Source. Open-Source Components are licensed exclusively under the Apache License, Version 2.0, as set forth in the LICENSE file in each source repository. These Terms do not modify, limit, or supersede the rights granted under the Apache License 2.0.

7. User Submissions

7.1 Personal Data. Personal data you submit through the Site is handled in accordance with our Privacy Policy.

7.2 Non-Confidential Submissions. Unless we agree in writing in advance, User Submissions (other than personal data) are submitted on a non-confidential basis. Do not submit trade secrets, confidential business information, or sensitive personal data through public forms or comments on the Site.

7.3 Feedback. If you submit suggestions, ideas, or feedback about the Site, our products, or our services ("Feedback"), you grant Scalytics a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and incorporate such Feedback into any Scalytics product, service, or website, without obligation or compensation to you. You retain ownership of your Feedback to the extent any underlying material qualifies as your intellectual property.

7.4 Accuracy. You represent that User Submissions are accurate and that you have the rights necessary to submit them.

8. Newsletter, Communications, and Marketing

If you subscribe to our newsletter, request a demo, register for an event, or otherwise opt in to communications, we will send you the communications you requested in accordance with the Privacy Policy. You may unsubscribe from marketing communications at any time using the unsubscribe link in any such message, or by contacting us at the address in Section 18.

9. Third-Party Links and Resources

The Site may contain links to third-party websites, repositories, and resources, including links to GitHub, the Apache Software Foundation, partner websites, and research publications. Such links are provided for convenience. Scalytics does not control and is not responsible for the content, accuracy, availability, or terms of any third-party site or resource.

10. Trial Programs, Frontrunner, and Hosted Demos

Where the Site offers a free trial, the Frontrunner Program, a hosted demonstration environment (for example, the OSINT demo for kafSIEM), or any similar evaluation offering, your use of those offerings is governed by the program-specific terms presented at signup or, if no program-specific terms are presented, by the Enterprise License Agreement. Such evaluation offerings are provided "AS IS" without warranty.

11. Site Availability and Modifications

We may modify, suspend, or discontinue any part of the Site at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuance.

We do not guarantee that the Site will be uninterrupted, error-free, or free of harmful components.

12. Disclaimer

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND WITHOUT PREJUDICE TO ANY MANDATORY CONSUMER RIGHTS YOU MAY HAVE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Content on the Site, including blog posts, white papers, research notes, benchmarks, and architectural guidance, is provided for general information only and is not a substitute for professional advice. Architectural and engineering decisions should be evaluated against your own requirements and constraints.

13. Limitation of Liability

13.1 Exclusions. To the maximum extent permitted by applicable law, and without prejudice to any liability that cannot be limited or excluded under applicable law, Scalytics shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, use, data, or business opportunity, arising out of or in connection with your use of the Site.

13.2 Cap. To the maximum extent permitted by applicable law, Scalytics's total cumulative liability arising out of or in connection with your use of the Site shall not exceed one thousand euros (€1,000) or the equivalent in your local currency at the prevailing exchange rate.

13.3 What This Section Does Not Limit. Nothing in these Terms excludes or limits Scalytics's liability for: (a) gross negligence or willful misconduct; (b) death or personal injury caused by negligence; (c) fraud or fraudulent misrepresentation; or (d) any other liability that cannot be excluded or limited under applicable law.

13.4 Software and Service Liability. Liability arising from your use of Scalytics Software or paid services is governed by the Enterprise License Agreement and the applicable Order Form, not by these Terms.

14. Indemnification

You agree to indemnify and hold Scalytics, its Affiliates, and their respective officers, employees, and agents harmless from and against any third-party claim, loss, or expense (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) User Submissions you provide that infringe a third party's rights; or (c) your unlawful use of the Site.

Scalytics will give you prompt notice of any such claim and reasonable cooperation in your defense at your expense.

15. Termination of Access

We may suspend or terminate your access to the Site, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or to protect the security or integrity of the Site.

Sections 6 (Intellectual Property), 7.3 (Feedback), 12 (Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), 17 (Regional Provisions), 18 (General), and any other provision that by its nature should survive, shall survive termination.

16. Changes to These Terms

We may update these Terms from time to time by posting an updated version at this URL. The "Last updated" date at the top of these Terms indicates the effective date of the most recent revision. For material changes, we will provide reasonable advance notice, such as a banner on the Site, an email to subscribers, or an in-product notification, where practicable. Your continued use of the Site after the effective date of any revised Terms constitutes your acceptance of the revised Terms.

Where applicable mandatory consumer protection law requires affirmative consent to material changes, those changes will not apply to you without your consent.

17. Regional Provisions

This Section sets out the entity, governing law, venue, and dispute-resolution provisions that apply to you based on your location. All other provisions of these Terms apply to all users worldwide on the same terms.

17.1 If You Are Located in the EU, EEA, UK, or Switzerland

Entity. Your contracting party is Scalytics Europe Ltd. (Santa Venera, Malta).

Governing Law. These Terms are governed by the laws of Malta, without regard to its conflict-of-laws principles, and without prejudice to any mandatory consumer protection law of the country in which you have your habitual residence.

Informal Resolution. Before initiating any formal proceeding, you agree to first attempt to resolve any dispute through good-faith negotiation by sending written notice to legal@scalytics.io.

Venue. Subject to mandatory EU consumer-jurisdiction rules, the courts of Malta have jurisdiction over any dispute arising out of or relating to these Terms. Each party submits to the personal jurisdiction of such courts. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

EU Consumer Rights. If you are a consumer resident in the European Union, you may also bring proceedings in the courts of the EU member state in which you are resident, in accordance with applicable EU law. The European Commission provides an online dispute resolution platform for consumers at ec.europa.eu/consumers/odr. Scalytics is not obligated, and does not commit, to participate in ODR proceedings unless required by law.

17.2 If You Are Located Anywhere Else (Including the United States)

Entity. Your contracting party is Scalytics, Inc. (Miami, Florida, United States).

Governing Law. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal Resolution. Before initiating any formal proceeding, you agree to first attempt to resolve any dispute through good-faith negotiation by sending written notice to legal@scalytics.io.

Venue. Any action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and each party irrevocably submits to the personal jurisdiction of such courts. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Jury Trial Waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS.

Time-Barred Claims. No claim arising out of or relating to these Terms may be brought more than two (2) years after the cause of action accrued, except where a longer statutory limitation period is mandatory under applicable law.

18. General

18.1 Entire Agreement. These Terms, together with the Privacy Policy and any program-specific terms applicable to specific offerings, constitute the entire agreement between you and Scalytics regarding your use of the Site, and supersede all prior or contemporaneous understandings regarding the Site.

18.2 Severability. If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

18.3 No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that or any other provision.

18.4 Assignment. You may not assign these Terms without our prior written consent. Scalytics may assign these Terms freely, including to an Affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets.

18.5 Force Majeure. Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control.

18.6 Independent Parties. These Terms do not create any agency, partnership, joint venture, or employment relationship.

18.7 Language. These Terms are drawn up in English. Any translation is provided for convenience only; the English version controls in the event of conflict.

18.8 Notices and Contact. Notices to Scalytics must be sent to legal@scalytics.io, with a copy by registered or certified mail (return receipt requested) to the entity that is your contracting party under Section 17:
